CMA Approves Dangote Refinery IPO Access for Kenyan Investors

CMA Approves Dangote Refinery IPO Access for Kenyan Investors

Kenyan investors can now participate in the Initial Public Offering (IPO) of Dangote Petroleum Refinery & Petrochemicals after the Capital Markets Authority (CMA) approved a framework allowing eligible investors to access the Nigerian company’s shares.

The CMA announced the approval on Monday, October 5, after approving a Short Form Prospectus for Global Depository Receipts (GDRs) submitted by Renaissance Capital (Kenya) Limited.

The development gives eligible Kenyan investors an avenue to participate in the Dangote Refinery IPO through GDRs, which represent shares in a foreign company and can be traded subject to applicable market rules.

“The Capital Markets Authority (CMA) has approved a Short Form Prospectus for a global depository receipt (GDR) submitted by Renaissance Capital (Kenya) Limited, a licensed investment bank, enabling eligible Kenyan investors to participate in the Initial Public Offering (IPO) of Dangote Petroleum Refinery & Petrochemicals (DPRP),” CMA stated.

How Kenyans will access Dangote shares

Under the approved arrangement, Kenyan investors will participate in the Nigerian refinery IPO through GDRs rather than purchasing the foreign shares directly through the local market.

A GDR is a negotiable certificate issued by a depositary institution to represent shares in a foreign company. The structure allows investors in another country to gain exposure to shares listed or offered in a different jurisdiction.

The CMA said Renaissance Capital (Kenya) will establish the necessary custodial arrangements for funds received from eligible Kenyan investors.

The investment bank is working with Renaissance Capital Africa, which is licensed to operate in Nigeria.

“In the case under review, Renaissance Capital (Kenya) Limited will put in place appropriate custodial arrangements for funds received from investors. Renaissance Capital (Kenya) Limited is working in collaboration with Renaissance Capital Africa, licensed in Nigeria,” the authority added.

Once the Dangote Refinery IPO closes and the allocation of shares is confirmed, Renaissance Capital Kenya is expected to structure the GDRs.

The GDRs are then expected to be listed on the Nairobi Securities Exchange (NSE), subject to regulatory approval.

NSE listing requires Nigerian approval

The CMA clarified that the proposed NSE listing is not automatic. It will depend on the relevant approvals from Nigeria’s Securities and Exchange Commission.

“Listing of the GDRs at NSE will be subject to obtaining relevant approvals from the Securities and Exchange Commission, Nigeria,” CMA said.

The Dangote Refinery IPO opened on September 14 and is scheduled to close on October 13, providing investors with a limited window to participate.

The IPO has attracted attention across Africa as Dangote Group seeks to widen ownership of the refinery and raise capital through the public offering.

CMA issues warning to investors

The approval comes amid strong interest from Kenyan investors who had previously been unable to participate through the local market because the offer had not received the necessary regulatory clearance in Kenya.

However, the CMA warned that approving the Short Form Prospectus should not be interpreted as an endorsement of the investment.

The authority advised potential investors to carefully review the IPO prospectus before committing their money and to seek independent professional investment advice where necessary.

The warning is aimed at ensuring investors understand the risks, costs, structure and terms associated with purchasing the GDRs.

Dangote Lamu refinery not part of IPO

The CMA also moved to distinguish the Nigerian IPO from Dangote’s planned refinery project in Kenya.

The clarification is important because Dangote Group recently broke ground on a planned KSh2.2 trillion East African Oil Refinery project in Lamu County.

“CMA wishes to clarify that the DPRP IPO relates only to Dangote Petroleum Refinery & Petrochemicals FZE based in Nigeria, and at this time, is not an offer of shares in the Dangote East African Petroleum Refinery and Petrochemicals project in Lamu County,” the authority said.

The latest approval therefore gives Kenyan investors access to the Nigerian Dangote Refinery IPO through GDRs, while the separate Lamu refinery remains outside the current share offer.
