CMA Warns Public Against Unverified Dangote Refinery IPO Documents
The CMA issued the warning on Monday, September 21, as interest in the multibillion-shilling Nigerian refinery share sale spreads across Africa.
“The Capital Markets Authority (CMA) notes the information circulating in relation to the Dangote Petroleum Refinery and Petrochemicals FZE Initial Public Offering (IPO),” the regulator stated.

CMA said the public offer is regulated in Nigeria and has not been submitted to the Kenyan regulator for consideration and approval under the country’s capital markets laws.
“This public offer is regulated in Nigeria and has not been submitted for consideration and approval by CMA under the applicable Kenyan legal and regulatory framework,” the authority added.
CMA Warns Kenyan Investors
CMA urged potential investors to independently establish the authenticity of any prospectus or investment document before making payments or providing personal and financial information.
The regulator also advised investors to use licensed capital markets intermediaries and rely on official information from relevant regulators and the issuer.
The warning comes as the Dangote Refinery IPO attracts significant attention following its launch on the Nigerian Exchange.
Dangote Refinery IPO Opens in Nigeria
The Nigerian Exchange Group confirmed that the IPO opened on September 14, 2026.

NGX said the IPO is expected to raise approximately 2.15 trillion Nigerian naira and is open to retail, institutional and eligible African investors under the applicable offer terms.
The transaction is the first time the Dangote refinery has been offered to investors through Nigeria’s stock market.
Dangote Says African Investors Are Interested
Dangote Industries President and Chief Executive Officer Aliko Dangote has previously said the offer is attracting interest beyond Nigeria.
“I think it’s an IPO not only for Nigerians. We’ve got a lot of interest from all over Africa,” Dangote said.
However, the CMA’s warning means Kenyan investors should distinguish between eligibility under the Nigerian offer and any separate approval to market or solicit the investment in Kenya.
Investors Urged to Verify Documents
CMA’s warning also comes amid wider concerns over fraudulent investment schemes.
The regulator has urged members of the public to verify the credentials of investment firms before transferring funds.
For Kenyans interested in the Dangote Refinery IPO, the key issue is therefore not whether the Nigerian offer exists, but whether the person or platform approaching them is authorised to facilitate the transaction.
