CMA Warns Public Against Unverified Dangote Refinery IPO Documents

CMA Warns Public Against Unverified Dangote Refinery IPO Documents

Kenyan investors have been warned against sending money or sharing personal information with individuals and online platforms offering access to the Dangote Refinery Initial Public Offering (IPO), after the Capital Markets Authority (CMA) clarified that the offer has not been approved for solicitation in Kenya.

The CMA issued the warning on Monday, September 21, as interest in the multibillion-shilling Nigerian refinery share sale spreads across Africa.

The regulator said information about the Dangote Petroleum Refinery and Petrochemicals FZE IPO was circulating in Kenya, prompting it to clarify the legal position of the offer.

“The Capital Markets Authority (CMA) notes the information circulating in relation to the Dangote Petroleum Refinery and Petrochemicals FZE Initial Public Offering (IPO),” the regulator stated.

CMA said the public offer is regulated in Nigeria and has not been submitted to the Kenyan regulator for consideration and approval under the country’s capital markets laws.

“This public offer is regulated in Nigeria and has not been submitted for consideration and approval by CMA under the applicable Kenyan legal and regulatory framework,” the authority added.

CMA Warns Kenyan Investors

The warning means that Kenyans should not assume that documents, websites, social media posts or payment instructions circulating locally are authorised by the Kenyan regulator.

CMA urged potential investors to independently establish the authenticity of any prospectus or investment document before making payments or providing personal and financial information.

The regulator also advised investors to use licensed capital markets intermediaries and rely on official information from relevant regulators and the issuer.

The warning comes as the Dangote Refinery IPO attracts significant attention following its launch on the Nigerian Exchange.

Dangote Refinery IPO Opens in Nigeria

The Nigerian Exchange Group confirmed that the IPO opened on September 14, 2026.

The offer comprises 4.1 billion ordinary shares priced at 525 Nigerian naira per share, with investors required to subscribe for at least 10 shares. The minimum subscription is therefore 5,250 Nigerian naira. The offer is scheduled to close on October 13.

NGX said the IPO is expected to raise approximately 2.15 trillion Nigerian naira and is open to retail, institutional and eligible African investors under the applicable offer terms.

The transaction is the first time the Dangote refinery has been offered to investors through Nigeria’s stock market.

Dangote Says African Investors Are Interested

Dangote Industries President and Chief Executive Officer Aliko Dangote has previously said the offer is attracting interest beyond Nigeria.

“I think it’s an IPO not only for Nigerians. We’ve got a lot of interest from all over Africa,” Dangote said.

The billionaire industrialist has described the share sale as an opportunity to broaden ownership of the refinery through the capital market.

However, the CMA’s warning means Kenyan investors should distinguish between eligibility under the Nigerian offer and any separate approval to market or solicit the investment in Kenya.

Investors Urged to Verify Documents

CMA’s warning also comes amid wider concerns over fraudulent investment schemes.

Earlier in September, the authority cautioned the public against several entities it said were offering investment services in Kenya without the required licences or approvals.

The regulator has urged members of the public to verify the credentials of investment firms before transferring funds.

For Kenyans interested in the Dangote Refinery IPO, the key issue is therefore not whether the Nigerian offer exists, but whether the person or platform approaching them is authorised to facilitate the transaction.

The CMA has not stated that the Nigerian IPO itself is fraudulent. Its warning concerns the offer’s lack of approval under Kenya’s local regulatory framework and the circulation of potentially unverified investment information.

Investors have consequently been advised to confirm all details through official Nigerian and Kenyan regulatory channels before taking any financial action.
